The role

The Corporate Legal Counsel at Flooid is a fantastic opportunity to join a global, expanding business. As a part of the Global Legal team, you will have direct access to the senior leadership while working for a global fast-paced IT organization. You will be providing legal and transaction support to the Head of Legal, Account Managers, the Global Sales Team and the wider business. This role suits a corporate legal counsel who is down-to-earth, personable, with strong good communication skills. Someone who can quickly build a good rapport with colleagues within Flooid and our external customers.

The ideal Corporate Legal Counsel candidate should be confident, a business enabler and a capable commercial individual with some in-house experience of software and IT contracts, in particular, SaaS, Subscription and On-Prem software contracts. The Corporate Legal Counsel should be able to demonstrate some previous experience of multi-jurisdictional IT contract drafting and negotiations. An example of the types of contracts you will be working on will include software license agreements, professional services, support (managed services, development and service desk), third party partnerships, subcontractors and third-party terms and conditions.

  • Provide transactional support to the commercial sales team.

  • Act as a key legal business partner on large, high value contract negotiations, including RFPs.

  • Support the compliance team including on regulatory and compliance matters like GDPR & Cyber security

  • See negotiations through to fruition, in a commercial and pragmatic manner, whilst protecting the company.

  • General day to day ad hoc legal support (general contract terms, open source terms, intellectual property rights issues, employment, property and company policies).

  • Maintain documentation for subcontractors, resellers, strategic third parties and referrals.

  • Be an ambassador of the legal department.

  • Produce, update and maintain precedent documentation and contract databases.

  • Supporting audits, in particular those in pursuance of accreditations.

  • Associated tasks as required by the Head of Legal.

You will need to bring:

  • Juris Doctor from ABA accredited institution

  • 3-4 years of experience in industry

  • Excellent academic background

  • Experience working in a fast paced, dynamic in-house IT environment

  • Autonomous and Independent working

  • Attention to detail

We’d like it if you could bring experience working with:

  • Multi-jurisdictional and cross border contracts, particularly the US, South Africa and Europe.

  • Master Agreements, Work Packets/Statements of Work and Change Requests

  • Third parties from third party resellers to subcontractors and referral agreements.

  • SAAS and Subscription agreements, with focus on acting for a software and services provider.

Useful Information

  • As we support a global business, a candidate based in the EST or CST is preferred.

  • Flexible working hours - normally worked between 7am and 6pm EST. As the Legal team supports the business on a global basis, flexibility will also be required to provide support in the AMEA region when necessary.

  • Travel (limited) –UK and & International travel required dependent on project needs.

  • Currently this role is fully remote due to COVID restrictions. Once restrictions are lifted this role some travel may be required.
