Corporate Paralegal



The Corporate Paralegal will be responsible for a variety of support and coordination functions for the Legal and Human Resources Departments including general corporate and regulatory functions, organizing and tracking compliance, preparation of business transactions, and any other duties assigned.


  • Assist in the preparation for and closing of corporate acquisition transactions, including but not limited to, due diligence collection/review/circulation; coordination of document execution and delivery; maintain electronic files related to same

  • Establish legal entities with the appropriate Secretary of State office and related authorizations and qualifications in other states

  • Submit any necessary changes to the Secretary of State to maintain accurate records

  • Establish and maintain corporate records in the Corporate Minute Books

  • Create and maintain records for internal agreements (ie: Property Management Agreements, Healthcare Provider Services Agreements, etc)

  • Assist Accounts Payable with legal and human resources vendor payments

  • Review and process invoices for payment

  • Assist with filing for state licensing (including changes of ownership) and all necessary renewals for all SNFs, HHAs, Hospice, PCHs and ALFs.

  • Create/compile the Disclosures of Ownership for the facilities under survey

  • Participate with the Medicare Administrative Contractor (MAC) team to identify potential problems and resolve issues involving active provider enrollment records

  • Assist with filing all initial applications, Changes of Ownership, Changes of Information, new branch openings, revalidations and re-credentialing for all facilities (SNF, ALF, PCH, HHA, Hospice, DME and Pharmacy) to be enrolled in the Medicare and Medicaid Programs

  • Request NPI numbers and maintain records from the NPPES site

  • Assist various department with data collection (compiling lists, providing corporate documentation) to assist in timely completion of open projects throughout the organization

  • Identify instances that potentially could impose threat to our organization and advise Assistant General Counsel and General Counsel


  • Familiarity with basic corporate, real estate, regulatory and finance documents.

  • High level of competency in a range of software packages including Word, Excel, and PowerPoint. Knowledge of SharePoint desirable, but not required.

  • Excellent verbal and written communication skills. Excellent organization skills.

  • Ability to work well and communicate with others across various Company department and at all corporate levels in a tactful and diplomatic manner.

  • Positive and enthusiastic attitude.

  • Ability to manage time effectively and prioritize a range of tasks.

  • Ability to work with minimal supervision.

  • Ability to take initiative. Must be proactive and self-motivated.

  • Ability to meet deadlines while maintaining attention to detail.

  • Sound judgment and discretion.

  • Strong work ethic



  • Bachelor’s degree from an accredited 4 year university

  • Paralegal certification preferred but not required.


  • At least 3 years’ previous experience as a paralegal or executive assistant at a law firm or at a company.

  • Healthcare Industry experience preferred.
