Neuberger Berman Associate General Counsel - Mutual Funds in New York, New York

Summary:

The attorney will be an integral part of Neuberger Berman's legal department supporting approximately a $40 billion complex of funds registered under the Investment Company Act of 1940, covering multiple asset classes and strategies (equity, fixed income, quantitative, multi-asset, liquid alternatives and private equity) in open-end and closed-end fund structures.

Responsibilities:

  • Prepare and/or review mutual fund regulatory documents, including registration statements and supplements thereto, financial statements and proxy statements; manage annual registration statement update process for open-end funds and coordinate with outside counsel, administrative and operations departments, portfolio managers and independent fund auditors;

  • Advise senior management, portfolio managers, marketing and sales personnel in developing, structuring and launching new funds and products;

  • Prepare and present board and committee meeting materials;

  • Review and advise on fund marketing materials and other client communications;

  • Provide advice and legal research regarding regulatory matters and all aspects of Neuberger Berman’s products and services with primary emphasis on the Investment Advisers Act, Investment Company Act, Securities Exchange Act of 1934, Securities Act of 1933 Act and Stock Exchange Listing Rules and Regulations;

  • Provide proactive and situation specific advice on individual transactions, contracts and projects including development and review of firm policies and procedures; and

  • Adapt and adjust job responsibilities to accommodate changing priorities while managing multiple requirements and timelines.

Qualifications:

  • Bachelor’s degree and JD required;

  • Member of New York state bar (or the ability to waive in);

  • Experience in investment management law and practice, with a preference for registered fund experience from an in-house legal department, law firm or the SEC;

  • Appropriate knowledge of and experience with the federal securities laws, with an emphasis on the Investment Company Act of 1940 and the asset management industry;

  • Helpful to have experience with securities transactional work, including private placements;

  • Strong communication skills, both written and verbal;

  • Self-starter, strong work ethic; ability to connect and engage with the business; ability to be a good representative for the legal department and the firm.
