DescriptionCompany Background:Schweitzer-Mauduit International, Inc. SWM operates in two business segments, Advanced Materials & Structures and Engineered Papers.Senior ParalegalSummary of Responsibilities:Provides support and coordination for all activities related to SWM Board of Directors and Committee matters. This includes parent company and subsidiary management, shareholder communication and regulatory reporting: Proxy Statement and Section 16 filings.Primary Responsibilities:Board of Directors ResponsibilitiesAttend all Board and Committee meetings and draft associated minutesProvide documentation related to Board meetings, resolutions and unanimous consents and provide Committee support in these areasManage the electronic system (Diligent) for communication with Board membersRespond to auditor inquiries and assist with ensuring all corporate governance requirements are metCommunicate outside Director compensationCoordinate Annual Meeting of ShareholdersParent and Subsidiary ManagementServe in various management capacities (Asst. Secretary, Secretary, etc.) for SWM subsidiary companiesMaintain all required legal information on subsidiary companies including, but not limited to, minutes, resolutions, annual filings, and other corporate actionsDraft resolutions related to annual meetings, signing authorities, officer or director changes or other actionsIncorporation of new subsidiariesDraft and execute required legal certificates and seals as required by lawCoordinate with outside counsel as neededShareholder ResponsibilitiesLiaison with the transfer agent (e.g., communicating information on quarterly dividends payments, IRS actions, and shareholder inquiries on issues such as estates, share transfers, duplicate 1099's and lost dividends)Cancel and reissue lost certificatesRegulatory reportingKnowledge of applicable rules and responsible for Beneficial Ownership Reporting for Directors and Executive OfficersGather, review and draft portions of the Annual Proxy statement. Coordinate with outside counsel, HR, and FinancePrepare NYSE filingsCoordinate with Finance and transfer agent logistics for printing and mailing to shareholdersProvide information as needed for 10-K, 10-Q, 8-K's, confidential treatment applications and support for regulatory inquiries.Restricted Stock Plan AdministratorKnowledge of plan documentsDraft and manage required documentationCoordinate with Finance to track grantsCoordinate with FP&A for budget purposesSupport HR on grant administrationOtherAdditional responsibilities as determined by the General CounselEducation/Certifications:Bachelor's Degree. 7+ years of corporate legal experience with experience and exposure to securities and transactional law and international operations.Required Skills:Knowledge of and demonstrated ability to comply with legal requirements regarding Corporate filings for a public companyExperience in communicating with members of a BoardExcellent oral and written communication skillsAbility to work effectively with Finance and other professionalsStrong...
